CONSTITUTION

1.
The club shall be called the Rhoose Bowling Club.

2.
The object of the Club shall be to provide facilities for Bowling and for the social intercourse of members. The Club shall operate under the rules and regulations of the Welsh Bowling Association, its affiliated Associations and of the Welsh Women’s Bowling Association.

3.
Membership

The Club shall consist of not more than 180 members of whom, not more than 150 shall be playing members and not more than 30 shall be non-playing or associate members. Membership shall be open to any person, regardless of race, age, gender, sexual orientation, religious belief or ability, who completes a membership application form and pays the relevant subscription, joining fees as determined by the Club.

All persons aged 16 and over.
All persons between the ages of 12 (twelve) and sixteen (both ages inclusive) who shall be called junior
members.
Junior members shall not have the right to vote at meetings, but may elect from themselves two representatives to attend General Committee meetings in a non-voting capacity.

4.
Management

The Club shall be managed by a General Committee of 7 members, together with an Executive of Chairman, Secretary, Treasurer, Ladies Captain, Men’s Captain and Competition Secretary. The General Committee shall retire annually, but shall be eligible for re-election. In the event of any position on the General Committee becoming vacant, the General Committee has the authority to co-opt from the membership to fill such vacancy until the next Annual General Meeting.

5.
Subscription

The annual subscription shall be decided at the Annual General Meeting for both playing and non-playing members/associate members.
Non playing/associate members cannot play in any Club Competition. They can participate in all of the Club’s social activities and events. They can attend all Club Meetings, but have no voting rights.

Honorary Life Membership

The General Committee shall have power to elect as Honorary Life Member, without payment of any further subscription, any member, of not less than 3 years standing, who shall in the opinion of the General Committee have rendered significant services to the Club, but such election shall not take effect unless and, until confirmed, at the following Annual General Meeting.
There shall not be more than 10 Life Members at any one time.

Honorary Officers

The Annual General Meeting shall elect a President, Chairperson and such Officers of the Club as an Honorary Secretary and Honorary Treasurer, and a General Committee. The President shall remain in office until such time as he or she wishes to resign or the General Committee reviews the position.
All Honorary Officers of the Club and the General Committee shall be ex-officio members of the Club and of the General Committee, with voting rights, the Chairman, having an additional or casting vote.

8.
Paid Officers

The General Committee shall have the power to appoint and dismiss a (paid) Secretary and such other employees of the Club as it may from time to time determine. No paid member of the Club Staff shall be a member of the General Committee. The General Committee may determine which, (if any) persons employed by or seconded to the Club, shall be invited, in a non-voting capacity to attend meetings of the Club and the General Committee.

9.
Visitors

The General Committee shall have the power to authorise members of other Clubs to use and enjoy the premises and facilities of the Club as visitors for any period, (not exceeding one month). Such visitors shall not be entitled to vote at any meetings of members.

 

 

10.

Default in payment of subscriptions

Members who fail to pay their annual subscription by the 30th. Day of April each year will receive a seven day request for payment notification. If there is no response to this letter their name will be placed on the club noticeboard as “Membership Lapsed”.

Re-instatement as a member after this time will be at the discretion of the General Committee.

 

11.

Proposal for membership

 

Candidates for membership of the Club must be proposed by one member of the Club and seconded by another member with application made, in writing. Acceptance will be at the discretion of the General Committee. Membership and voting rights will only take effect when the correct membership fees have been received by the Treasurer.

 

12.

Resignation

 

A member desiring to withdraw from the Club must give notice in writing, to the Secretary, on or before the 30th. Day of March of that year, otherwise the subscription for the ensuing year shall be payable.

 

13.

Expulsion of members

 

The General Committee shall have the power to expel any member who shall offend against the rules of the Club, or whose conduct shall, in the opinion of the General Committee, render him/her unfit for membership of the Club. Before any such member is expelled, the Secretary shall give him/her seven days written notice to attend a meeting of the General Committee and shall inform him/her of the complaint made against him/her. No member whose membership has been terminated under this rule, or who owes money to the Club shall be introduced by any other member to any part of the Club premises.

 

14.

Club Servants

 

Club Servants shall be under the orders of the General Committee only and no member shall reprimand a Club Servant. If any member has any cause for complaint, he/she shall bring the same before the General Committee in writing.

 

15.

Alteration of Rules

 

The General Committee shall have the power to alter the rules, but no such alteration shall take effect until the same has been confirmed at an Annual General Meeting, or at a Special General Meeting convened for the purpose.

 

16.

Code of Conduct/Bye-laws

 

The General Committee shall have the power to make by-laws for regulating the conduct of members and the affairs of the Club provided the same are not in conflict with the rules. Such Bye-laws shall be posted in some conspicuous part of the Club premises and shall be binding on all members.

 

17.

Annual General Meeting

 

Once in every year, in the month of October, the General Committee shall convene an Annual General Meeting of the Club, which all members, and representatives shall be entitled to attend for the purpose of: Receiving the:

(1)

(a) Annual Report of the General Committee and

(b) Annual Audited Statement of Accounts.

(2)

To consider and, if approved, sanction any duly made alterations to the Constitution.

(3) To appoint the Officers and other members of the General Committee.

(4) To appoint members to the General Committee to serve for one year.

(5) To appoint other Officers to the Club.

 

(6) To appoint an Auditor or Auditors.

Notice convening the Annual General Meeting shall be sent to the members and representatives, not less than ten days before the meeting and shall specify the matters to be dealt with.

 

18.

Special General Meeting

 

A Special General Meeting shall be convened at any time by the General Committee and shall be convened within twenty one days from the receipt of a requisition in writing signed by no less than 10 members specifying the objects of the meeting for any of the following purposes:

To consider and, if approved, sanction any duly made alteration of the Constitution.

(b)To deal with any special matter which the General Committee may desire to place before the members, including the expulsion of a member.

(c) To receive the resignation of the General Committee, or to remove member/members thereof from office and to fill any vacancy, or vacancies, caused thereby.

(d)To deal with any Special Matter relating to the Club.

 

19.

Rules of Procedure at all times

 

(a) Subject to the provisions of Rule 23, all questions arising at any meeting shall be decided by a simple majority of those present and entitled to vote thereat, no member shall have more than one vote, but in the case of the equality of votes, the Chairman shall have a second or casting vote.

(b) Quorum – one third of the members shall form a quorum at meetings of the General Committee. 20 members shall form a quorum at General Meetings of the Club. Representatives appointed by junior members may attend General Meetings but shall not be entitled to vote and they shall not be counted as part of the necessary quorum.

(c) Minutes – books shall be kept by the Club and the appropriate Secretary shall enter therein a record of all proceedings and resolutions.

20.

Finance

(a) All monies raised by or on behalf of the Club shall be applied to further the objects of the Club and for no other purpose.
(b) The Honorary Treasurer shall keep proper accounts of the finances of the Club.
(c) The accounts shall be audited at least once a year by a qualified auditor or auditors who shall be appointed at the Annual General Meeting.
(d) An audited statement of accounts for the last financial year shall be submitted by the General Committee to the Annual General Meeting.
(e) Bank accounts shall be opened in the name of the Club with such bank as the General Committee shall decide. The General Committee shall authorise in writing the Chairman, Treasurer and Secretary of the Club to sign cheques on behalf of the Club. All cheques must be signed by not less than two of the three authorised signatories.

21.

Trust Property

The title of all and any property which may be acquired by or for the purpose of the Club shall be vested in the Trustees, who shall be appointed by the General Committee and who shall enter into a dead of trust, setting forth the purposes and conditions under which they hold said property in trust for the Club. The number of trustees shall be three.

22.

Dissolution

If the General Committee by a simple majority decide at any time that on the grounds of expense or otherwise, it is necessary or advisable to dissolve the Club it shall call a meeting of all members of the Club, who have the power to vote. Notice of this Special General Meeting, giving details of the proposal for consideration will be posted to members giving not less than 21 days notice. If the proposal is passed, by a two-fifth majority of those present and voting, the General Committee shall have the power to dispose of any assets held by, or in the name of the Club. All proceeds shall be applied towards such charitable purposes as the General Committee may decide and, as agreed by a majority of the membership.

23.

Alterations to the Constitution

Any proposal to alter this Constitution must be delivered, in writing, not less than 21 days before the date of the Meeting at which it is at first to be considered. An alteration will require the approval of a two-fifth majority of the voting members of the Club and voting at the Annual General Meeting.
Notice of each such meeting must be given in accordance with normal procedure, but not less than 14 days prior to the meeting in question and giving the precise wording of the proposed alteration. No alterations to clauses 1 and 20 shall be made. If the trustees have been appointed in accordance with Clause 21 thereof, an alteration shall not be made without the knowledge and consent of the trustees, but such consent shall not be unreasonably withheld by them.

24.
A match fee, set annually by the General Committee, is to be paid by all playing members for all home and away matches. To be collected by Skips and handed to the Captain prior to the start of each game.

25.
Players wishing to compete in Club Members Competitions must have qualified by playing for the Club on at least three occasions in the previous years match season. New members for the playing year exempt from this rule.

This Constitution was adopted as the revised Constitution of Rhoose Bowling Club at it’s Annual General Meeting, duly convened on 29th. Day of October 2019.

A.G.M. Alterations to Constitution

 

At the Annual General Meeting 30th. October 2018 the following proposal’s for amendments to the Constitution were discussed and motions passed:

 

1/. Constitution Rule 4

The Club shall be managed by a General Committee of 7 members together with an Executive of Chairman, Secretary, Treasurer, Ladies Captain, Men’s Captain and Competition Secretary.

 

2/. Constitution New Rule 24

A match fee, set annually by the General Committee, is to be paid by all playing members for all home and away matches. To be collected by Skips and handed to the Captain prior to the start of each game.

Please note that the above rules take effect from the start of the 2019 season and the match fee agreed at the A.G.M. is £2 per playing member.

 

3/. Constitution New Rule 25

Players wishing to compete in Club Members Competitions must have qualified by playing for the Club on at least three occasions in the previous years match season. New members for the playing year exempt from this rule.
